These Terms of Service (“Terms”) govern your access to and use of the website, digital marketing services, affiliate management, and consulting solutions provided by JWM Digital Marketing (“JWM,” “we,” “us,” or “our”). By accessing our website or engaging our services, you agree to comply with these Terms.

1. Eligibility & Scope of Services

• JWM provides B2B digital marketing, affiliate program management, analytics, and consulting services to business entities only. Services are not available to consumers or individuals seeking personal or non-business use.
• You must have authority to act on behalf of your business and bind your business to these Terms.

2. Account Registration & Partner Obligations

• You may be required to register an account and provide accurate business, contact, and compliance information (including but not limited to company documents, EIN, registration numbers, ownership, etc.).
• You agree to keep your information updated and notify us of any changes.
• You are responsible for maintaining the confidentiality of your account credentials and for any activity conducted through your account.

3. Compliance & Prohibited Activities

• All partners/clients must comply with all applicable laws, regulations, and industry standards (including KYC/KYB, AML, GDPR/CCPA, anti-spam, anti-fraud, and tax laws).
• Prohibited activities include, but are not limited to: incent traffic, bots, fake or misleading advertising, unauthorized use of third-party content, brand-bidding, consumer gambling offers, or any activity that may harm JWM’s reputation or violate applicable laws.
• We reserve the right to suspend or terminate any account for non-compliance or prohibited conduct.

4. Use of Website & Intellectual Property

• All content, trademarks, logos, and materials on the JWM website are the property of JWM or its licensors and are protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without written permission.
• The website may not be used for any unlawful, abusive, or unauthorized purpose, including but not limited to data scraping, hacking, or spamming.

5. Campaign Approval, Fees & Payment Terms

• All marketing campaigns, creatives, and affiliate offers are subject to our approval and compliance review.
• Fees, commissions, and payment terms will be outlined in individual contracts or service agreements. All payments are due as agreed and subject to invoice.
• Late payments may result in interest charges and/or suspension of services.

6. Reporting, Confidentiality & Data Protection

• JWM provides performance reports and analytics to clients and partners. Such information is confidential and may not be shared with third parties without permission.
• Both parties agree to maintain strict confidentiality regarding all non-public information, data, and trade secrets.
• Data is processed in accordance with our Privacy Policy and applicable data protection laws.

7. Disclaimers & Limitation of Liability

• JWM provides services “as is” and does not guarantee any specific results or performance levels unless otherwise stated in writing.
• To the fullest extent permitted by law, JWM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue arising from your use of our services or website.
• JWM’s aggregate liability is limited to the total fees paid for services rendered in the 12 months preceding the claim.

8. Termination

• Either party may terminate services with written notice as specified in the applicable service agreement.
• Upon termination, all outstanding fees and obligations become immediately due and payable. Confidentiality, data protection, and indemnity provisions survive termination.

9. Indemnification

• You agree to indemnify and hold harmless JWM, its officers, employees, and affiliates from and against any claims, losses, damages, liabilities, costs, or expenses (including legal fees) arising out of your use of our services or breach of these Terms.

10. Modifications to Terms

• JWM may update these Terms periodically. Continued use of the website or services after changes constitutes acceptance of the revised Terms. Updated versions will be posted on this page with a revised effective date.

11. Governing Law & Jurisdiction

• These Terms shall be governed by and construed in accordance with the laws of the United States and the Commonwealth of Pennsylvania, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Pennsylvania for any dispute arising from these Terms or our services.
